In early 2007, I came up with an idea that might fly, Twine. I've begun work in earnest on this project, though at a very slow pace. I hope to get some help on this.

MindCapers Corporate Structure

That is a pretty elaborate term for the tiny little startup entity that MindCapers is, but there is or will be one. MindCapers (the Company) will become incorporated and issue shares based on sweat equity contributions.

Financial Backing

The beauty of a web startup company is that it takes very little in the way of financial investment to get a good thing going. I am providing hosting, etc., but costs are minimal.

Sweat Equity

Anyone that contributes time and energy (Shareholders) to an approved MindCapers task will receive sweat equity shares in the Company.

Financial Information

Right now, MindCapers is in the hole financially. Though the software created will be open source, there are ways to make money from open source code. There may also be donations. In any case, any monies coming into MindCapers shall be distributed as follows:

  1. Actual Expenses: Expenses get covered first. This includes, but is not limited to, hosting costs, internet access fees, computer software and hardware, advertizing, etc.
  2. Company Bank Account: After current and past expenses are covered, some monies will be kept around in a company bank account to cover future expenses and re-investment into the Company.
  3. Profits: Monies left over after covering expenses shall be distributed as follows:
  • 10% Founder's Fee: that means I get 10% for coming up with the idea, fronting the money, etc.
  • 10% Good Deeds: this portion will go to various charities and good causes. Pet causes of Shareholders get first priority. Pet shopping habits of Shareholders do not count. Examples could be: helping someone with a sick child cover extra expenses, charitable organizations, etc.
  • 30% Base Code Contributions: Twine is going to be built on top of the work of many open source developers that came before. They deserve a cut too. Open source packages that normally charge a usage or support fee, have a commercial version (i.e., MySQL Enterprise edition), or post a suggested donation, shall be capped to that amount, with consideration to number of licenses actually used. For example, if AppX suggests a $10 donation per user and we have 5 people that used AppX for MindCapers work, the cap would be $50 (5 x $10). Open source packages without fees or suggested donations stand to collect more from us.
  • 50% to Shareholders: Each person that works for MindCapers shall become Shareholders by contributing sweat equity. This equity will be earned in hours for pre-approved tasks. I shall set values for these tasks up front in an attempt to balance out the "newbie" vs. "veteran" factor. For example, if a task was to write a particular PHP function, the hours awarded will be based on the time it would take a professional software engineer familiar with PHP to do. Newbies are welcome to take on tasks over their heads, but if it takes ten times as long, they are not getting ten times the credit. That said, if you can justify to me why a task took longer than it did I will award more credit accordingly. For example, if I left out half the requirements for a function, it should be worth something like double the original amount.

Credits and Me

Some of you reading this have known me for a long time. Some of you don't know me at all. I am a fair and trustworthy type, I like to play by the rules. I like to help people learn and I am a good teacher when it comes to most things software. Working on MindCapers projects should be a good learning experience for anyone that cares to apply themselves. I will do my best to give credit (shares) where credit is due. I will be honest about monies spent and monies received. However, trust is something that is earned, so if you mistrust me for some reason, think of shares as a game and don't spend more time on MindCapers work than you would playing games. If the Company ever becomes profitable, I'll be sure to send your money your direction.

Note that MindCapers may never become profitable. Even if you trust me with your life, you may never see a dime. So again, don't spend more time that you are willing to simply donate on MindCapers projects. Again, if the Company ever becomes profitable, I'll be sure to send your money your direction.
